CANCELLATION & REFUND POLICY

We, KGC Infotech Private Limited/Shopaver ("We", "Us", "Our", “Company”), are engaged in cloud-based Point-of-Sales software application business for shops under the brand name “Shopever”. Optionally integrate services like POS billing, quick billing, khata, inventory, ONDC Online store, and WhatsApp commerce etc. using programmable API architecture. The Company also provides end to end integration of services for managing stores for various stores and business outlets through such POS software applications and websites (referred to as the “Shopever Platform”).

The Shopaver POS Platform subscription and additional value-added services ("Shopaver Subscription") we offer are governed by our Terms of Service, which you agree to upon subscribing or accessing the Shopaver Platforms. When subscribing, you can choose a Shopaver subscription plan and proceed with payment using the available payment methods for each plan.

Fees

You must pay a Subscription Fee according to your selected Shopaver Subscription plan ("Subscription Fee"). The Subscription Fee specified in different subscription plans is non-refundable, unless stated otherwise in our Cancellation & Refund Policy. Taxes may be applicable on the subscription fee. Your Shopaver Subscription becomes active only after the Subscription Fee is successfully paid through the Shopaver Platforms, in accordance with your chosen subscription plan.

Subscription Cancellation & Refund

You may cancel your paid Shopaver Subscription any time by visiting Your Account and adjusting your subscription settings on any of the Shopaver Platforms. If you cancel the Shopaver Subscription within 14 business days of signing up for such paid Shopaver Subscription, we will issue a credit note to you and refund your full Subscription Fee, provided that we may charge you (or withhold from your refund) the value of Shopaver benefits used by you and your account during this 14 business day period by issuing a partial credit note to you.

If you cancel the annual Shopaver Subscription at any other time, we will raise a credit note and refund your Subscription Fee only to the extent of your usage of the subscription plan of our Shopaver Platform since the payment of the Subscription Fee. If you cancel the monthly Shopaver Subscription, the subscription fee will be refunded only if you have not made any usage or taken advantage any of the Shopaver benefits since payment of your Subscription Fee.

Revisions

We may in our discretion change the Terms of Service as well as this Cancellation & Refund Policy, or any aspect of Shopaver Subscription, without notice to you. If any change to these terms is found invalid, void, or for any reason unenforceable, that change is severable and does not affect the validity and enforceability of any remaining changes or conditions.

If we modify these terms, your ongoing subscription implies your acceptance of the changes. If you do not agree to any changes, you must cancel your subscription.

Termination by Us

We reserve the right to terminate your Shopaver Subscription without prior notice at our discretion. In such cases, we will issue a credit note and provide a prorated refund based on the remaining duration of your current subscription term, whether monthly or annual. However, no refunds will be issued for terminations related to conduct that we determine, at our discretion, violates our Terms of Service or any applicable law, involves fraud or misuse of the Shopaver Subscription, or poses harm to our interests or another user. Our failure to insist on strict compliance with the Terms of Service or this Cancellation & Refund Policy does not waive any of our rights.

Limitation of Liability

Apart from other restrictions and exclusions in the Conditions of Use and Sale, we and our directors, officers, employees, agents, or representatives shall not be liable for any direct, indirect, special, incidental, consequential, or punitive damages, or any other damages arising from or related to the Shopaver Platforms. Our total liability, whether in contract, warranty, tort (including negligence), or otherwise, will not exceed the most recent Subscription Fee you paid. These limits on liability and exclusions apply to the fullest extent permitted by law and remain valid even after your Shopaver subscription is canceled or terminated.
